MINUTES OF A MEETING OF THE BOARD OF DIRECTORS OF THE OPEN SOURCE GEOSPATIAL FOUNDATION A Delaware non-stock corporation.

On August 1st, 2006, at 15:00 UTC, pursuant to notice duly given, the Board of Directors (the "Board") of the Open Source Geospatial Foundation (the "Foundation" or "OSGeo") held a meeting by teleconference. The meeting lasted sixty minutes.

Present at the meeting were the following members of the Board: Frank Warmerdam, Mark Lucas, Chris Holmes, Arnulf Christl, and Gary Lang. Laura Rivera was also present. All participants on the call indicated that they could hear one another. Additionally, Internet Relay Chat was used for backup purposes (#osgeo on irc.freenode.net). Mr. Lucas was appointed chairperson of the meeting. Finding a quorum present, Mr. Lucas called the meeting to order. Arnulf Christl was appointed secretary of the meeting.

The Board deferred approving the [[Sixteenth Board Meeting]] minutes of the meeting held on 18th of August 2006 until they have been formatted.

=== ED hiring status - a "taxing" situation ===
Gary Lang indicated that the ED discussion went well and he keeps leading the effort. Discussion of common goals and objectives leading to success of OSGeo and the ED.

=== [[Foundation Sponsorship]] proposal ===
The proposal writeup from the [[Fundraising]] committee was reviewed and generally approved in order to be able to move forward. It was noted that details, minor changes and wording should be cleaned out by the [[Fundraising]] committee.

=== Discussion and Approval of [[India]] OSGeo Chapter ===
India chapter formation discussed and approved. The board notes that international outreach is making good progress and efforts in this direction have been very positive.

=== Discussion and Approval of [[Ottawa Chapter]] ===
Frank reported from the last meeting and the formation of the Ottawa chapter. The Ottawa Chapter has a more regional character giving people a chance to meet up and discuss. Formation was discussed and approved by the board.

=== OSGeo Logo ===
The immediate issue was resolved before the meeting started. The current formats and versions of the logo are not in a final stable state. It is needed in vector formats and VisCom thinks that it will be necessary to work the logo over. Viscom owns and will make recommendations.

=== Status report on legal issue ===
Regarding [[GeoTools Incubation Progress#Copyright_to_OSGeo_Y.2FN | GeoTools copyright transfer to OSGeo]]. Process is stalled, more input needed from legal, Frank is going to take the lead on writing something up for the board on copyright transfer.

=== Treasurers Report ===
Pending. Many of the past expenditures have been in kind contributions from Autodesk and are technically off the books for OSGeo accounting. Board and committees see the need to have an overview of what past activities cost to continue working on the budget for 2007. On the other hand it might well be that OSGeo will choose to not attend costly excursions in future unless they come as in kind contributions - also from other sponsors. Current situation is that $170k MapGuide marketing is diverted for OSGeo activities on a quarterly base. Whether and how long this will continue will depend on whether OSGeo feels that this is a good use of its funds. Treasurer Gary Lang will start tracking the financial expenditures that are in the OSGEO account. Book keeping discussed. This should in future be managed / organized by ED.

Open attendance in afternoon was discussed and approved. Gary Lang is going to take the lead at looking at the f2f agenda.

=== Proposed Membership Rules discussion ===
It was proposed to make up a [[Membership Application]] for FOSS4G. There is a plan but the sign up page is not connected with the central LDAP. This will be deferred and is part of the infrastructure build up. The new Drupal site has most of what we need in place already. A temporary solution is planned for now. Frank is going to stand something up to later transfer and integrate to the official system.

Our expenses lie in the following areas:

My goal is to at least earn enough to cover the cost of the store ($100/year); anything above that is pure profit to fold back into the VisCom coffers (<$1000 certainly). As such, I'm not going to factor it into the below budgets.

== Objectif ==

Cette RFC concerne la suppression des comités de l'OSGeo-fr et de leurs postes de responsable, ainsi que la création d'un poste de responsable de communication et d'un responsable infrastructure.

== Contexte et motivation ==

* Comité données
L'OSGeo-fr a été créée losque les initiatives liées à l'OpenData n'existaient pas encore, et qu'OpenStreetMap n'était pas encore structuré en association. Aujourd'hui les associations visant à promouvoir la donnée libre sont légion, et de fait l'activité de l'OSGeo-fr autour des données libres n'est ni forte ni efficace.

* Comité logiciel et organisation
L'OSGeo-fr est une association dont les actions sont organisées par projets, qui sont autonomes tant dans leur équipe d'organisation que dans leur budget. Les logiciels étant le principal focus de l'association, chaque projet possède une composante "logiciel". Par définition un projet comporte également une partie organisation.
Il n'est donc pas réellement pertinent d'avoir un comité transversal "logiciel" ni un comité "organisation" puisque ces responsabilités sont prises en charge dans chaque projet.

* Communication
Le président de l'OSGeo-fr est la personne qui représente l'OSGeo-fr. Ce poste est lié à la communication externe. Cependant, les besoins en communication de l'OSGeo-fr sont importants et sont grandissants. Il s'agit d'entretenir le site web, les réseaux sociaux, de faire des communiqués de presse, de dialoguer avec les partenaires, avec l'OSGeo, etc. Ces actions de communication sont primordiales pour l'activité de l'association, et elles sont également transversales, dans le sens où elles concernent l'OSGeo-fr dans son entièreté, projets, stratégie, etc.
Afin d'organiser au mieux ces aspects aujourd'hui mal gérés, il serait souhaitable de créer un poste de responsable de la communication au sein de l'association.

* Infrastructure
L'OSGeo-fr étant une association à portée nationale et internationale, il est important de disposer d'outils permettant la collaboration par internet. Ces outils nécessitent de la maintenance et une bonne coordination pour gérer efficacement leur mise en place et leur utilisation.
Il est proposé de créer un poste de responsable infrastructure pour l'OSGeo-fr, garant de la mise en place et de la maintenance des outils proposés par l'OSGeo-fr.

== Mise en place ==

La mise en place de ces mesures s'effectue par une modification des statuts, avant la prochaine élection du bureau.

Il est donc proposé de modifier l'article 7 et de remplacer :

FOSS4G Toolkit for Mandriva 2008

New FOSS4G Toolkit for Mandriva 2008 is released.
== About the Mandriva 2008 FOSS4G Toolkit CD ==

We have been packing some of the software in the OSGeo stack since the Mandrake (now Mandriva) Linux 10.0 distribution. We call our packaged CD as FOSS4G Toolkit CD.

The RPM have been built by obtaining SOURCE RPM from various sources. We tested SOURCE RPM, modified the RPM SPEC files when necessary and rebuilt RPM packages on our local machine.

This page contains information about the FOSS4G Toolkit for Mandriva Linux 2008 distribution that has been released in October 2007. We have mainly used the SOURCE RPM of OSGeo Software stack available in the Mandrake/official/current/SRPMS/contrib/release/ directory available at the Mandriva Linux 2008 FTP mirror and our experience in making the Mandriva Linux 2006 FOSS4G CD Toolkit to test, modify the SPEC files when necessary and rebuild RPM packages for Mandriva Linux 2008 on our local machine.
